Quorn Grange Hotel Notes from the meeting held Monday 27 January 2020 Present: Oshor Williams (Chair) LynnAmbler, John Frau, Doug Nichols, Steve Orchard, John Smith, 1. Corporate Governance and Board Organisation Following discussions it was agreed: * It is important we have frank and open discussion * To record decisions * in managing the hotel we must know our KPIs * The board must be able to answer questions about Revenue, Costs, Cash flow * Revisit the terms of reference of the Directors, the Education Trust and the GFTU * The board must be more effective re the oversight and scrutiny of the hotel * Some time to be spent examining the role of the directors and the regularity and function of board meetings 2. Budget and Finances The directors were concerned that budget predictions are sometimes “way out”. Agreed we carry out an urgent business review including a cash flow analysis. A new Head of finance Heather Baldock is now in post. The directors were concerned about the shortfall in the fourth quarter of 2019 3. SMT Action Point Documents The following was noted: * in house social media team have not fulfilled tasks hence the GFTU social media employee is doing the work * Ian is working on completing inductions under his HR responsibilities * Site management staff Neil and Gary have been moved from being managed by the hotel to being managed by the GFTU * The GFTU is taking a tighter control of finances. * It was agreed the directors would ask Tim what had happened in the fourth quarter of 2019 and what his prediction was for the first quarter of 2020. * In order to “keep up hotel developments and paper trials it was agreed that all documents should be senT by post one week before a scheduled meeting. 4. Presentation by Martin Peters, Chief Executive, Leicester Promotions Ltd. A thought provoking presentation. *All Martins suggestions for the improvement of the hotel were agreed. * Branding Workshops to include department managers and the Directors * Meeting date set for Monday 10 February 2020 5.General Managers Report Tim attended meeting and answered questions put by the dIrectors. Key points are summarised as: * The hotel over budgeted. * Occupancy has not fallen much but there is now more bedstock
